Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Upnia platform (the "Service") operated by Upnia ("us", "we", or "our"). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

Upnia provides a feedback management platform that enables the collection, prioritization, and publication of product feedback and roadmaps. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring basis (monthly or annually) depending on the plan you select. Your subscription will automatically renew unless you cancel it before the end of the current billing period. You may cancel your subscription at any time through your account settings.

Payment is processed via Stripe. You must provide valid payment information and authorize us to charge the applicable fees. Current prices are listed on our pricing page and may be changed with reasonable prior notice. In the event of payment default, we reserve the right to restrict or suspend access to the Service.

We may offer a free trial for a limited period. At the end of the trial period, unless you cancel, your subscription will begin and you will be charged the applicable fee. We reserve the right to modify or discontinue free trial offers at any time without notice.

You retain all rights to the content you submit, post, or display through the Service ("Your Content"). By using the Service, you grant us a limited license to use, store, and display Your Content solely for the purpose of providing and improving the Service. You are responsible for the legality, accuracy, and appropriateness of Your Content.

We do not claim ownership of Your Content. Upon termination of your account, we will make reasonable efforts to allow you to export Your Content before it is deleted from our systems.

The Service and its original content (excluding user-submitted content), features, and functionality are and will remain the exclusive property of Upnia and its licensors. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. If you wish to terminate your account, you may discontinue using the Service or contact us. Upon termination, your right to use the Service ceases immediately. All provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

In no event shall Upnia, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service. Our total liability for all claims arising from or relating to these Terms or the Service shall not exceed the aggregate fees paid by you to us during the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless Upnia and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) Your Content posted on the Service.

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and Upnia regarding the Service. We reserve the right to modify these Terms at any time. Material changes will be communicated with reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
